Terms of Service

These Terms of Service outline the rights, responsibilities and obligations of both Human Asset Consultants Ltd (HA Consultants) and our clients when engaging our HR consulting and recruitment services.

1. Service Agreement

By engaging or using our services, you agree to be bound by these Terms of Service. Please read them carefully before entering into any service agreement with HA Consultants.

2. Service Scope

Our services may include, but are not limited to:

  • Recruitment and talent acquisition
  • HR outsourcing and advisory services
  • Training and workforce development
  • HR compliance and policy development
  • Any other HR or people management services as outlined in individual service agreements

All services are delivered in accordance with agreed contracts, proposals, or written engagements.

3. Client Responsibilities

Clients agree to:

  • Provide accurate, complete, and timely information
  • Ensure all data shared is lawful and does not infringe third-party rights
  • Maintain confidentiality of any proprietary or sensitive information shared during engagements
  • Comply with all applicable employment, data protection, and labour laws

Delays or inaccuracies in client-supplied information may impact service delivery timelines.

4. Confidentiality

Both parties agree to maintain strict confidentiality regarding:

  • Business information
  • Candidate or employee data
  • Commercial terms
  • Any other non-public information exchanged during the course of engagement

This obligation remains in effect even after the termination of services.

5. Fees and Payment

All fees will be communicated in advance through proposals, invoices, or service agreements.

  • Payment terms must be followed as specified in the invoice or contract
  • Late payments may result in suspension or delay of services
  • All fees are non-refundable unless otherwise agreed in writing

6. Limitation of Liability

To the maximum extent permitted by law:

  • HA Consultants shall not be liable for indirect, incidental, or consequential damages arising from the use of our services
  • Our total liability shall be limited to the amount paid for the specific service in question
  • We do not guarantee specific employment outcomes unless explicitly stated in writing

7. Termination

Either party may terminate a service agreement by providing written notice in accordance with the terms of the specific contract.

Upon termination:

  • Any outstanding fees remain payable
  • Both parties must return or delete confidential information where applicable
  • Provisions relating to confidentiality and liability will continue to apply

8. Intellectual Property

All materials, reports, frameworks, and documentation provided by HA Consultants remain our intellectual property unless otherwise agreed in writing.

Clients may use delivered materials strictly for internal business purposes.

9. Changes to Terms

HA Consultants reserves the right to update or modify these Terms of Service at any time. Updates will be posted on our website and become effective immediately upon publication.

10. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Kenya.
